1. Introduction

These Terms and Conditions ("Terms" or "Agreement") form a legally binding agreement between you ("User," "you," or "your") and DIAN Technology Solutions ("ZyncQ," "we," "us," or "our"), the owner and operator of the ZyncQ digital identity and QR card management platform. By accessing, downloading, installing, or using the ZyncQ mobile application, web application, or any related services (collectively referred to as the "Service" or "Platform"), you confirm that you have read, understood, and agreed to comply with these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Service immediately. These Terms apply to all users of the Platform, including individuals who create accounts, generate digital cards, or access publicly shared digital card information.

1.1 About ZyncQ

ZyncQ is a digital identity management platform that allows users to create, manage, and share digital business cards — including personal vCards, business vCards, and company profiles — using QR codes and unique shareable links. The platform is accessible through both mobile and web applications.

1.2 Acceptance of Terms

By using the Service, you acknowledge and agree to these Terms. If you access or use the Service on behalf of a company or other legal entity, you confirm that you are authorized to accept and bind that entity to these Terms and Conditions.

3. Eligibility and Account Registration

3.1 Age Requirement

The Service is intended only for individuals who are at least 18 years old. By accessing the Service, you must confirm and warrant that you meet this minimum age requirement. ZyncQ does not knowingly allow individuals under the age of 18 to register for or use the Service.

3.2 Account Registration

To access the core features of the Service, you must create an account. You may register using:

• Email address and password (manual sign-up with OTP verification)
• Google authentication (OAuth 2.0)

When creating an account, you agree to:

• Provide accurate, complete, and up-to-date information.
• Maintain and promptly update your account details to ensure their accuracy.
• Keep your login credentials and password secure and confidential.
• Immediately notify ZyncQ of any unauthorized access to or use of your account.
• Accept full responsibility for all activities conducted through your account.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. ZyncQ will not be liable for any loss or damage arising from your failure to protect your account. You agree not to use another user's account or attempt to gain unauthorized access to other accounts or systems.

4. Description of Services

• Unique shareable link assigned to every Digital Card
• Ability to download QR codes in PNG format
• Centralized dashboard for managing all created Digital Cards
• Integrated QR scanner for scanning third-party QR codes
• Local QR scan history stored only on the user's device
• User profile management and account settings features
• Light mode support for the mobile application, and both Light and Dark mode support for the web application

4.3 Service Availability

ZyncQ strives to ensure the continuous availability of the Service; however, uninterrupted access is not guaranteed. The Service may occasionally become unavailable due to maintenance activities, system updates, or circumstances beyond our control. ZyncQ reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without prior notice.

5. User Obligations and Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in compliance with these Terms. By using the Service, you agree to:

• Use the Service solely for its intended purpose of creating, managing, and sharing digital identity cards
• Provide accurate, truthful, and up-to-date information within your Digital Cards
• Respect the privacy, confidentiality, and rights of individuals whose contact information you manage or share
• Comply with all applicable local, national, and international laws, regulations, and legal requirements.

5.2 Prohibited Activities

You agree not to:

• Create accounts or Digital Cards using false, misleading, fraudulent, or impersonated identities.
• Upload, publish, or share content that is unlawful, defamatory, obscene, harmful, or deceptive.
• Use the Service to distribute unsolicited communications, spam, phishing attempts, or similar activities.
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the platform.
• Access, interfere with, tamper with, or disrupt servers, databases, networks, or security systems associated with the Service.
• Use unauthorized automated tools, bots, crawlers, or scripts to access or interact with the service.
• Sell, resell, lease, sublicense, or commercially exploit access to the Service without prior written consent from ZyncQ.
• Use the Service in any manner that may harm, damage, or negatively affect the reputation of ZyncQ or its users.
• Bypass or circumvent authentication processes, access restrictions, or security mechanisms implemented by the Platform.
• Upload, transmit, or distribute malware, viruses, or any other malicious or harmful code through the Service.

5.3 Content Responsibility

You are solely responsible for all Content that you submit, upload, create, or share through the Service. ZyncQ does not routinely monitor or pre-screen content; we reserve the right to review, remove, or restrict any Content that violates these Terms or applicable laws, with or without prior notice.

6. Intellectual Property Rights

6.1 ZyncQ Platform Ownership

The ZyncQ platform, including its software, technology, design elements, logos, trademarks, user interface, and other proprietary materials, is owned by DIAN Technology Solutions. All rights not explicitly granted under these Terms remain reserved by ZyncQ. You may not copy, reproduce, distribute, modify, adapt, create derivative works from, publicly display, or commercially use any portion of the Platform without obtaining prior written authorization from ZyncQ.

6.2 User Content License

You retain all ownership rights to the Content you upload, submit, or create through the Service. By providing Content to ZyncQ, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display such Content solely for the purpose of operating, maintaining, and improving the Service. This license will end once you delete your Content or close your account, except where retention is required to comply with legal obligations or as otherwise outlined in our Privacy Policy.

6.3 Feedback

If you provide ZyncQ with any feedback, recommendations, suggestions, or ideas relating to the Service, you acknowledge and agree that ZyncQ may use, modify, and implement such feedback without restriction and without any obligation to compensate or credit you.

7. Privacy and Data Protection

Your use of the Service is governed by ZyncQ's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy outlines how we collect, use, store, protect, and share your personal information.

By accessing or using the Service, you acknowledge and consent to the data handling practices described in the Privacy Policy. Key provisions relating to data and privacy include:

• ZyncQ does not sell your personal information to third parties
• QR scan history is stored locally on your device and is not transmitted to ZyncQ servers
• Information included in your Digital Cards may be accessible to anyone who scans your QR code or visits your shareable URL
• You may request access to, correction of, or deletion of your personal information at any time

8. Digital Cards and QR Code Sharing

8.1 Public Accessibility

When you create a QR code for a Digital Card, the information contained within that card may be publicly accessible to anyone who scans the QR code or visits the associated shareable link. You are solely responsible for the content and information you choose to include in your Digital Cards.

8.2 Third-Party Sharing

ZyncQ allows users to share Digital Card links and QR code images with others. You acknowledge and agree that once your Digital Card is shared, ZyncQ has no control over how recipients may further distribute or share that information. Accordingly, you should only include information in your Digital Cards that you are comfortable making publicly available.

8.3 QR Code Deletion

When you delete a Digital Card or QR code from your dashboard, the associated content is deactivated and will no longer be accessible through QR scans or shareable links. ZyncQ will make reasonable efforts to process such deletions promptly; however, a short propagation or processing delay may occur before the changes fully take effect.

8.4 File Uploads

You may upload files while creating your Digital Cards, including profile images, company logos, and company profile documents in PDF, PPTX, or DOCX formats, subject to a maximum file size of 5 MB per file. By uploading any file, you represent and warrant that:

• You own the file or have the necessary rights and permissions to upload and share it.
• The file does not violate or infringe upon any third-party intellectual property or proprietary rights.
• The file is free from malware, viruses, malicious code, or any prohibited or harmful content.

9. Third-Party Services and Integrations

9.1 Google Authentication

ZyncQ offers sign-in via Google OAuth. By using this feature, you agree to Google's Terms of Service and Privacy Policy. ZyncQ's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

9.2 Third-Party Links and Services

The Service may contain links to third-party websites, applications, or services. ZyncQ is not responsible for the content, privacy practices, or terms of any third-party services. Accessing third-party services is at your own risk.

9.3 Analytics

ZyncQ may use third-party analytics tools (such as Google Analytics) to monitor platform usage and performance. These tools collect anonymized or aggregated technical data. Refer to the Privacy Policy for further details on analytics data collection.

10. Fees, Payment, and Subscription Plans

10.1 Free Tier

ZyncQ may offer a free tier with limited features and usage quotas. Users on the free tier are subject to the same Terms as paying subscribers, including all acceptable use obligations.

10.2 Paid Plans

Premium features may be available under paid subscription plans. Pricing, features, and billing cycles for any paid plans will be published within the application and on the ZyncQ website.

By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described in the plan details.
• Provide accurate billing and payment information.
• Authorize ZyncQ to charge your selected payment method on the applicable billing cycle.

10.3 Refund Policy

Unless otherwise required by applicable law, fees paid are non-refundable. If you believe you have been charged in error, contact ZyncQ at support@zyncq.com within 30 days of the charge.

10.4 Changes to Pricing

ZyncQ reserves the right to modify its pricing at any time. Existing subscribers will be notified in advance of any price changes, and changes will take effect at the start of the next billing cycle.

11. Termination and Account Suspension

11.1 Termination by User

You may delete your account at any time through the Profile section of the application. Upon deletion of your account, your personal information will be removed from active systems in accordance with the data retention and deletion practices outlined in the Privacy Policy.

11.2 Termination by ZyncQ

ZyncQ reserves the right to suspend, restrict, or permanently terminate your account and access to the Service, with or without prior notice, if any of the following occur:

• Violation of these Terms or any applicable policies
• Submission of false, misleading, or fraudulent account information
• Conduct that may harm other users, third parties, or the reputation and operations of ZyncQ
• Failure to pay any applicable fees or charges within the required timeframe
• Compliance with a legal obligation, court order, or request from a regulatory or governmental authority.

11.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Content associated with your account may be retained for a limited period as required by law or for legitimate business purposes, after which it will be deleted in accordance with the Privacy Policy.

12. Disclaimers and Limitation of Liability

12.1 Service Provided "As Is"

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties or guarantees of any kind. To the fullest extent permitted under applicable law, ZyncQ disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and the uninterrupted, secure, or error-free operation of the Service.

12.2 Limitation of Liability

To the maximum extent permitted by applicable law, ZyncQ, including its directors, employees, agents, affiliates, and representatives, shall not be held liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of data, income, profits, goodwill, or business opportunities
• Unauthorized access to, use of, or modification of your account or Content
• Acts, failures, or omissions of third-party service providers or external platforms
• Errors, inaccuracies, interruptions, or omissions relating to the Service, Content, or platform features

In jurisdictions where the exclusion of certain warranties or limitations of liability are not permitted, ZyncQ's liability shall be limited to the fullest extent allowed under applicable law.

12.3 Indemnification

You agree to indemnify, defend, and hold harmless ZyncQ, along with its officers, directors, employees, agents, and affiliates, from and against any claims, liabilities, damages, losses, costs, or expenses, including reasonable legal fees, arising out of or related to your use of the Service, the Content you provide, or any violation of these Terms by you.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India, without reference to its conflict of law principles. Users accessing the Service from other jurisdictions may also be subject to applicable local consumer protection and related laws.

13.2 Jurisdiction

Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

13.3 Dispute Resolution Process

Before commencing any formal legal action, both parties agree to make reasonable efforts to resolve disputes through good-faith discussions and negotiations. If the dispute remains unresolved within 30 days from the date of written notice, either party may proceed with formal legal remedies in accordance with applicable law.

14. Region-Specific Provisions

14.1 India – Digital Personal Data Protection Act, 2023

Users located in India are subject to the additional data protection obligations described in the ZyncQ Privacy Policy under Section 9.3 (India – DPDP Act), including the rights of Data Principals, consent requirements, grievance redressal, and cross-border data transfer provisions.

15. Modifications to Terms

ZyncQ reserves the right to modify these Terms at any time. If we make material changes, we will notify you by email, in-app notification, or by posting a prominent notice within the Service prior to the changes taking effect. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree with the changes, you should discontinue using the Service and delete your account. It is your responsibility to review these Terms periodically. We encourage you to check the "Last updated" date at the top of this document whenever you access the Service.

16. General Provisions

16.1 Entire Agreement

These Terms, along with the ZyncQ Privacy Policy and any additional policies or guidelines incorporated by reference, represent the complete agreement between you and ZyncQ regarding the Service and replace all prior agreements, communications, representations, and understandings relating to the Service.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

ZyncQ's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without ZyncQ's prior written consent. ZyncQ may assign these Terms or any rights hereunder at its discretion.

16.5 Force Majeure

ZyncQ shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, cyber-attacks, or telecommunications failures.

16.6 Language

These Terms are drafted in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
